✦TERMS OF SERVICE✦

PLEASE READ CAREFULLY: Updated November 28, 2024This Terms of Service Agreement is entered between the Artist and the Commissioner for the commission of an artwork and its products. By Commissioning the Artist, the Commissioner must agree to the following terms.1. ENGAGEMENT
a. Different terms and conditions apply to whether the requested work will be for PERSONAL or COMMERCIAL use.
b. The Client shall PROVIDE CLEAR and COMPLETE REQUIREMENTS and expectations upfront, including reference materials or assets before Work begins.
c. The Client grants to the Artist non-exclusive rights to observe and replicate Client's own character design and reference material for the use of the Work.
d. The Client warrants that they have the authority to enter this agreement, be the point of contact, and are solely responsible for decisions and approval during the process.
e. The Artist guarantees the artwork is original to the best of their knowledge and will exert maximum effort to complete it to the highest standard.
f. The Artist may use commercially licensed, copyright-free, and/or educational materials, assets and/or tools.
g. The Artist reserves THE RIGHT TO REFUSE PROJECTS or REQUESTS based on content, subject matter, or other reasons.
h. The Artist retains the copyright ownership, redistribution and intellectual property rights, which includes but is not limited to display, advertising, printing, manufacturing, work in progress on websites, social media, portfolios, public broadcast channels and more of the work.2. ART PROCESS:
a. The Process will have SKETCH, COLORING, and RENDERING and TOUCH UPS.
- First 2 sketch revisions are free. Additional revisions will have additional payment.
- After the sketch, only minor coloring revisions are allowed.
- After Coloring, No revisions allowed upon final rendering and touch ups.
b. The time it takes to finish the commission varies from 1 WEEK to 1 MONTH, depending on factors such as priority of slot orders, artwork complexity, health, weather conditions, and other workloads.
c. The Artist will send images of progress, updates, and seek revisions from the client.
d. The Client can view the status of their commission on the Carrd website: https://shirrori.carrd.co/
e. The Client must voluntarily respond to requested revisions within 2-4 working days (Monday-Friday).
f. The Client will receive full-resolution files (both JPEG and PNG) for digital artwork commissions via Google Drive or any similar transfer tools.3. COMMUNICATION
- Ongoing communication and discussions will occur throughout the project, including work in progress, idea generation and collaboration, situational updates, and more.
- The artist defines the scope of work, features, price, deliverables and other details for the project in a proposal and format according to the Artist’s discretion. These may include private messages through Discord, or emails. The details set forth by the Artist shall be agreed upon by the Client before work begins.4. COPYRIGHT & USAGE
FOR PERSONAL USE: The client is granted a limited, non-exclusive license to use the artwork for specific purposes outlined in the commission agreement.a. Ownership of Copyright
- THE ARTIST RETAINS THE OWNERSHIP OF THE COPYRIGHTb. Permitted Use: activities or purposes that are allowedc. Digital Artwork/s
- Personal computer/ mobile wallpaper
- Social Media Profile Picture or Cover Photo
- Displaying the artwork on a personal online journals, blogs or portfolio
- Always credit the artist
- Printing the artwork for personal display in homes or offices.Prohibited Use: the following is considered copyright infringement
- Reproducing/ using the produced artwork commercially - means making money out of it.
- Claiming the artwork as your own.
- Altering the artwork.
- Removing the watermark.
- Usage of work for AI (Artificial Intelligence), ML(Machine Learning) tools, platforms, programs or NFT IS STRICTLY PROHIBITED.FOR COMMERCIAL USE: The artist grants the client a non-exclusive, limited license to use the artwork for specific commercial purposes as outlined in this agreement.a. Royalty Clause
- The artist shall receive a one-time payment equivalent to three times (3x) the total price of the commission as full and complete compensation for all rights granted under this agreement. This payment constitutes the artist's full and final royalty for the lifetime use of the artwork for the specified commercial purposes.b. Ownership of Copyright
- THE ARTIST RETAINS THE OWNERSHIP OF THE COPYRIGHT
- The commissioner acquires a license to use the artwork for commercial use, NOT OWNERSHIP.c. Permitted Use: activities or purposes that are allowed
- Product packaging
- Advertising
- Merchandise
- Online marketing
- Social media campaigns
- Grants the commissioner to use the artwork for specific commercial purposes that will also be discussed.d. Prohibited Use: the following is considered copyright infringement
- Claiming the artwork as your own.
- Altering the artwork.
- Removing the watermark.
- Usage of work for AI (Artificial Intelligence), ML (Machine Learning) tools, platforms, programs or NFT IS STRICTLY PROHIBITEDe. Indemnification
- The client agrees to indemnify and hold the artist harmless from any claims, damages, or liabilities arising from the client's use of the artwork.5. PAYMENT:

FOR GOOGLE FORMS:
Payments will be accepted via:
- Local (Convert in PHP): GCash, or Maya
- International (in USD): PayPal, or Ko-fi donation
(Please mind the 3rd party’s service charge if applicable)a. For Personal Use: Upon approval of the order, a 50% must be paid upfront, and another 50% upon completion of work, before delivery. Customers may also opt for a full payment upfront and will be prioritized.
b. For Commercial Use: Upon approval of the order, a one-time payment equivalent to three times (3x) the total price of the commission as full and complete compensation for all rights granted and will be prioritized.
c. Note: Do not send any payments before approval of orders and agreement of slot reservation.
d. QR Code (for GCash & Maya)/ Paypal Invoice will be sent after the order approval and must be paid within 72 hours (3 days) or the project may be canceled.
e. NO REFUNDS. The payment will serve as both a reservation slot and payment for the commissioned artwork. However, in case of failure to deliver the ordered work, the Artist will issue a refund.
f. Problems in processing of payments should be reported to the 3rd party responsible (Ex: Paypal Processing..) for handling transactions.If you think there is a possibility that you might need that money for any other reason, please do not commission me.Thank you for reading~
